Background/Purpose: American
De Rosa Lampart’s sole shareholder acquired
the Company in 1984 and built it through several
acquisitions and organic growth. Prior
to partnering with ShoreView, he was seeking
to monetize the value he created, to plan for
eventual leadership transition, and to partner
with a strong financial sponsor to capitalize
on growth opportunities. ShoreView structured
a transaction that allowed the owner to achieve
these objectives while retaining a substantial
ownership stake in the Company. In addition,
the Company’s President, who was not
previously an owner, invested in the equity
of the Company.
